Terms of Sale

Applicable to Professional subscribers — Version 1.0 — Last updated: 3 June 2026

The French version of these Terms of Sale shall prevail in case of any discrepancy.

Article 1 — Purpose and scope

These General Terms of Sale (hereinafter "GTS") govern the contractual relationship between Susanoo SAS ("FitResa"), publisher of the fitresa.com platform, and any natural or legal person carrying out a professional activity in sports or wellness (the "Professional") who has subscribed to a paid plan.

They apply to the exclusion of any other conditions. Subscribing to a plan implies full acceptance of these GTS. These GTS complement the General Terms of Service (GTS) of the platform.

Article 2 — Service offerings

FitResa offers several subscription plans giving Professionals access to advanced platform features. Current plans, features and pricing are detailed on the Pricing page of fitresa.com, accessible at any time.

FitResa reserves the right to modify its plans and pricing, subject to the notice period provided in Article 9.

Article 3 — Subscription and service access

Paid subscriptions are taken out online, directly from the FitResa platform. The Professional must have an active account and have accepted the ToS and these GTS.

Access to subscribed features is activated immediately upon payment confirmation by Stripe. The Professional expressly acknowledges that immediate access to the service constitutes a waiver of the 14-day right of withdrawal (see Article 7).

Article 4 — Subscription term and renewal

4.1 Monthly subscription

Monthly subscriptions are taken out for one month and automatically renewed each month on the anniversary date. The Professional is automatically charged monthly via Stripe.

4.2 Annual subscription

Annual subscriptions are taken out for one year and automatically renewed each year. The annual amount is charged in a single payment. Automatic renewal may be disabled from the account settings at least 48 hours before the renewal date.

4.3 Free plan

The free plan is available with no commitment or time limit. It may be cancelled at any time. FitResa reserves the right to modify the features included in the free plan with 30 days' notice.

Article 5 — Payment terms

Subscription payments are made by credit card via Stripe's secure solution. Card data does not pass through FitResa's servers and is managed directly by Stripe (PCI-DSS certified).

Invoices are automatically generated at each renewal and sent by email. They are also available in the account dashboard.

Prices are displayed excluding VAT. French VAT at 20% applies. The VAT-inclusive amount is shown at checkout.

Professionals established in another EU Member State and VAT-registered in their country may benefit from the reverse charge mechanism, subject to providing a valid VAT number.

Article 6 — Suspension for non-payment

In the event of a failed automatic payment, FitResa will notify the Professional by email. If payment is not regularised within 7 calendar days, FitResa reserves the right to suspend access to paid features, without additional notice and without liability.

Suspension for non-payment does not give rise to a refund for the current period. Access is restored upon full regularisation of outstanding amounts.

Article 7 — Right of withdrawal

In accordance with article L. 221-28 12° of the French Consumer Code, the 14-day right of withdrawal does not apply to contracts for the supply of digital content where performance has begun before the withdrawal period has expired, with the consumer's prior express agreement.

By subscribing to a FitResa plan and immediately accessing its features, the Professional expressly waives their right of withdrawal.

Note: this clause applies to Professionals acting as consumers (e.g. sole traders). Professionals acting in the course of their commercial activity do not benefit from withdrawal rights.

Article 8 — Cancellation

The Professional may cancel their subscription at any time from their account settings or by contacting FitResa support. Cancellation takes effect at the end of the current billing period — no prorated refund will be issued for the period already billed.

FitResa reserves the right to terminate a subscription in the event of a serious breach of the ToS or these GTS, with 15 days' email notice, reduced to 48 hours in the event of serious breach or fraud.

Upon cancellation, the Professional's data is retained in accordance with the Privacy Policy and deleted at the end of applicable legal periods.

Article 9 — Pricing changes

FitResa reserves the right to modify its pricing at any time. Any pricing change will be notified to the Professional by email with a minimum of 30 days' notice before taking effect.

If the Professional does not accept the new pricing, they must cancel their subscription before the new pricing takes effect. Failure to cancel within this period constitutes acceptance of the new pricing.

Article 10 — Warranties and service levels (SLA)

FitResa undertakes to use reasonable means to ensure platform availability. FitResa does not however guarantee uninterrupted service.

In the event of a major outage (more than 24 consecutive hours) attributable to FitResa, the Professional may receive a credit equivalent to the daily prorata of their subscription, upon request to support within 30 days of the incident. This credit constitutes the Professional's sole remedy in this regard.

Article 11 — Liability

FitResa is subject to a best-efforts obligation only. Under no circumstances shall FitResa be liable for indirect damages such as loss of revenue, loss of customers, or reputational damage resulting from use of or inability to use the platform.

FitResa's liability under these GTS is in all cases limited to the amount of subscription fees actually paid by the Professional in the 12 months preceding the event giving rise to the claim.

Article 12 — Governing law and jurisdiction

These GTS are governed by French law. In the event of a dispute, the parties agree to seek an amicable resolution within 30 days of notification.

Failing amicable agreement, any dispute shall be submitted to the exclusive jurisdiction of the Commercial Court of Créteil, France.

Article 13 — Online payments via Stripe Connect

FitResa integrates Stripe Connect to allow Professionals who wish to do so to accept online payments from their clients (paid bookings). In this context:

FitResa is not a payment institution. FitResa does not at any time hold funds transiting between end clients and Professionals. Payments are processed directly by Stripe, Inc. (or Stripe Payments Europe, Ltd. for European accounts), acting as a licensed payment service provider.

Stripe conditions. Activating the online payment module implies the Professional's acceptance of the Stripe Connect Terms of Service (available at stripe.com). FitResa is not party to that agreement and cannot be held liable for decisions made by Stripe (onboarding refusals, account freezes, payout delays, etc.).

Transaction liability. FitResa cannot be held liable for processing errors, fraudulent charges, payment disputes (chargebacks) or any other failure related to Stripe's services. Any dispute between a Professional and Stripe must be handled directly with Stripe via their dedicated support.

Stripe fees. Stripe processing fees (per-transaction commission) are borne exclusively by the Professional at the rates in force on the Stripe website. FitResa receives no commission on payments between end clients and Professionals.

Refunds. In the event of cancellation of a paid booking under the conditions defined by the Professional, FitResa automatically triggers a refund via Stripe. Stripe processing fees are non-recoverable and remain the Professional's responsibility.

Article 14 — Subscription refund policy

General principle. FitResa subscriptions are billed in advance for the current period (monthly or annual). Unless otherwise provided below, no prorated refund is issued for cancellation mid-period.

Monthly subscription. Upon cancellation of a monthly subscription, access to paid features is maintained until the end of the already-billed current period. No refund is issued for remaining days.

Annual subscription. In the event of early cancellation of an annual subscription before the halfway point (6 months), a prorated refund for remaining complete months may be granted, net of processing fees, upon written request to legal@fitresa.com within 30 days of the cancellation request. After this deadline or beyond the halfway point, no refund is possible.

Service interruption attributable to FitResa. In the event of a major platform outage exceeding 24 consecutive hours attributable to FitResa (excluding scheduled maintenance, force majeure, third-party provider failures), the Professional may request a credit equal to the daily prorata of their subscription for the duration of the outage. This credit is valid for 3 months and applied to the next billing cycle.

Billing errors. Any billing error (duplicate charge, incorrect amount) must be reported to legal@fitresa.com within 30 days. FitResa undertakes to process the claim within 10 business days and issue a refund if the error is confirmed.

Refund timeline. Approved refunds are issued via the original payment method (credit card via Stripe) within 5 to 10 business days, subject to applicable banking delays.
